Terms of Service
The terms governing your use of Vesper AI's AI receptionist services for private clinics.

1. Agreement
These Terms of Service ("Terms") form a binding agreement between Vesper AI ("we", "us") and the clinic or organisation using our services ("you", "Customer"). By using Vesper AI you agree to these Terms.
2. The service
Vesper AI provides AI voice receptionist software, including inbound and outbound call handling, transcription, scheduling integrations, analytics and supporting tools. Specific features may vary by plan.
3. Customer responsibilities
You are responsible for the accuracy of the information you provide to configure your agent, for ensuring your use of the service complies with applicable laws (including call recording and data protection rules) and for the conduct of your authorised users.
4. Fees & billing
Fees are billed monthly or annually in advance based on the plan you select. Usage above included thresholds is billed in arrears. Fees are non-refundable except where required by law.
5. Data protection
We process personal data in accordance with our Privacy Policy and the data processing addendum that forms part of this agreement. You are the data controller; Vesper AI acts as data processor.
6. Acceptable use
You agree not to use the service for unlawful, harmful or fraudulent activity, to attempt to reverse engineer the platform, or to use it in any clinical decision-making capacity beyond reception, scheduling and information tasks.
7. Availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance and unforeseen outages may occur. Service-level commitments, where offered, are set out in your order form.
8. Liability
To the maximum extent permitted by law, our aggregate liability under this agreement is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses.
9. Termination
Either party may terminate this agreement at the end of the then-current subscription term with at least 30 days' written notice, or earlier in case of material breach that is not cured within 30 days.
10. Governing law
These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
